Terms of Service This Terms of Service (“Agreement”) is a legally binding agreement between you (“User” or “you”) and Balanced’s Plant-Based Product and Vendor Directory (“Balanced,” “we,” “us,” or “our”) regarding your use of the Balanced’s Plant-Based Product and Vendor Directory website and related services (collectively referred to as the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. 1. Acceptance of Terms By using the Service, you affirm that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement. 2. Description of Service Balanced’s Plant-Based Product and Vendor Directory provides a platform that allows users to access a comprehensive directory of plant-based products and vendors. The Service is provided on an “as is” and “as available” basis, and Balanced reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. 3. User Obligations a. Registration: In order to use certain features of the Service, you may be required to create an account and provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials, and you agree to accept responsibility for all activities that occur under your account. b. Prohibited Activities: You agree not to use the Service for any unlawful or unauthorized purposes. You shall not: i. Violate any applicable laws or regulations; ii. Post, upload, or transmit any content that is harmful, offensive, or infringes upon the rights of others; iii. Use the Service to distribute unsolicited commercial messages or spam; iv. Interfere with or disrupt the Service or the servers or networks connected to the Service; v. Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service; vi. Engage in any activity that could harm the reputation of Balanced or its users. 4. Intellectual Property Rights a. Balanced’s Rights: The Service, including its content, features, and functionality, is owned by Balanced and is protected by copyright, trademark, and other intellectual property laws. You acknowledge and agree that Balanced retains all rights, title, and interest in and to the Service, and you shall not acquire any rights, ownership, or licenses in the Service except as expressly provided in this Agreement. b. User Content: By using the Service, you grant Balanced a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content that you upload, submit, store, or transmit through the Service. 5. Disclaimer of Warranties a. The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied. Balanced does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. b. Balanced does not endorse, warrant, or guarantee the accuracy, completeness, or reliability of any information or content provided by the Service or third-party vendors. 6. Limitation of Liability To the fullest extent permitted by applicable law, Balanced and its affiliates, officers, directors, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of or inability to use
